3．投资方银行资信证明（The bank credit certification of each investor）- 原件（Orginal）－2（in duplicate）－由国外银行出具（Issued by overseas bank）

4．投资方上一年度的审计报告（Auditor's report of the investor of the last year）- 原件（Orginal）－1（one）－由审计师事务所出具（Isuued by auidit company）

5．新公司董事护照/身份证（The ID card or passport of every director of the new company）- 复印件（Photocopy）－4（in quadruplicate）－复印件经本人签字（Signed by himself/herself on the photocopy）

6．新公司监事护照/身份证（The ID card or passport of supervisor of the new company）- 复印件（Photocopy）－4（in quadruplicate）－复印件经本人签字（Signed by himself/herself on the photocopy）

7．新公司法定代表人一寸照片（One-inch photo of the legal representative of the new company）-原件（Orginal）－2（in duplicate）

8．新公司法定代表人护照/身份证（The ID card or passport of legal representative of the new company）－复印件（Photocopy）－4（in quadruplicate）－复印件经本人签字（Signed by himself/herself on the photocopy）

9．新公司2名管理人员的简历（Resume of senior management (at least 2 persons) of the new company）－复印件（Photocopy）－4（in quadruplicate）－原件（Orginal）－2（in duplicate）－附照片（With photo）

10．新公司2名管理人员在上一家任职公司的任职证明（其中必须注明3年以上融资租赁相关工作经验，并注明在每个公司的起止日期，岗位，工作内容）（Proof of employment of senior management(at least 2 persons) by the last previous employer company (indicating at least 3 years relevant working experience in the financial leasing industry, and noting the beginning and ending date, position and job content in each company)）－原件（Orginal）－4（in duplicate）－加盖2名管理人员上一家任职单位的公章（Stamped with seal of the previous employer company of the senior management(at least 2 persons)）

11．新公司2名管理人员取得的相关执业证照（Profession Certification of senior management(at least 2 persons) of the new company）－复印件（Photocopy）－2（in duplicate）

注1：设立融资租赁公司需要满足如下要求：

Notice 1: The investor or the new company must satisfy the following requirements:

投资方必须为公司、企业和其它经济组织，成立时间不得低于1年，投资方财务报表必须显示有营业收入，且净资产不能为负。

1)         All investors should be companies, enterprises and other economic organizations, which have been founded and been oprerating for at least 1 year, and the financial statements must show that the investors have income and positive net asset.

国外投资者的总资产不得低于500万美元。

2)         The total assets of foreign investors should be no less than $ 5 million.

新公司2名管理人员应具有相应专业资质和不少于三年的融资租赁相关行业的从业经验。

3)         The two senior managers of the new company should have appropriate professional qualifications and at least three years working experience in financial leasing industry.

国外投资者的投资比例不能低于25%。

4)         The investment proportion of foreign investors must be no less than 25% of the registered capital of the new company.

注2:如果投资方在B.V.I.、开曼群岛、西萨摩亚群岛等地方进行离岸注册的，还需补充以下材料：

Notice 2:If the investor (parent company) is registered in tax heaven such as British Virgin Islands, Western Samoa, Cayman Islands etc., the following additional documents shall be provided in addition:

1．投资方的信誉良好证明（"Certificate of Good Standing" of the investor）- 原件（Orginal）－1（one）－投资方当地注册机构出具（Issued by local Registration Authority in the country of investor）

2．投资方的股东名册（Register of Members of the investor）- 复印件（Photocopy）－2（in duplicate）

3．投资方的投资方的主体资格证明（Certificate of Incorporation of the grandparent company）- 复印件（Photocopy）－2（in duplicate）

注3：如果是以跨境人民币直接投资，还需补充以下材料：

Notice 3:If the investment is paid in overseas RMB, the following additional documents shall be provided in addition:

1．资金用途说明（Statement letter about the purporse of invested capital）- 原件（Orginal）－2（in duplicate）－投资方法定代表人签字（Ito be signed by investor's legal representative）

2．跨境人民币直接投资情况表（The form of RMB cross-board direct investment）- 原件（Orginal）－2（in duplicate）－投资方法定代表人签字（Ito be signed by investor's legal representative）

3．人民币资金来源证明（The proof of RMB resource）- 原件（Orginal）－2（in duplicate）－由国外银行出具（issued by the  overseas bank.）
